Terms of Service

These Terms of Service ("Terms") govern your access to and use of Dayze (the "Service"), operated by Phi Digital LLC ("Phi," "we," "us," or "our"). By creating an account or using Dayze, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Dayze is a personal life operating system. Depending on your plan and the features you enable, it may include tools to:

  • Track your age in days, milestones, calendar events, and personal timeline
  • Manage people, relationships, and notes about your network
  • Log finances (expenses, income, IOUs), habits, food, health summaries, and related life data
  • Use Dayze Agent (an AI assistant running on third-party AI models) in chat, voice, and messaging channels you connect
  • Connect third-party services (for example calendars, email, health, or music) you authorize
  • Publish an optional public profile and handle
  • Access developer APIs and agent connectors (MCP) where offered

Features, limits, and availability may vary by plan and change as we improve the product. Current plan details are described on our Pricing page.

2. Accounts

You may create or access an account using Apple, Google, a one-time magic link sent to your email, or an email/username and password. You must provide accurate information, keep credentials secure, and are responsible for activity under your account. You may not use another person's account without permission. You must be at least 13 years old (or the minimum age required in your jurisdiction) to use Dayze.

3. Subscriptions, Trials & Billing

Dayze offers a Free plan and paid plans (currently Dayze Pro and Dayze Family), billed in US dollars (USD) through Stripe. Prices, included features, and usage limits (including AI message limits) are listed on dayze.com/pricing and may change with notice.

  • Trials: Where offered, a Pro trial gives temporary access to paid features. Cancel before the trial ends to avoid charges.
  • Renewals: Paid subscriptions renew automatically until you cancel in Settings (Manage billing) or via Stripe's customer portal.
  • Cancellation: You keep paid features through the end of the current billing period. Downgrades take effect at period end.
  • Refunds: Subscription refund requests within 14 days of a charge may be considered at our discretion; email support@dayze.com. Premium handle purchases are generally non-refundable except where required by law.
  • Taxes: You are responsible for applicable taxes. Stripe may collect and remit taxes where required.

We may suspend or limit paid features if payment fails. We do not store full payment card numbers; Stripe processes payments under its own terms and privacy policy.

4. Premium Handles

Premium handles (usernames) are licensed, not sold. Payment grants a right to use the handle on Dayze while your account remains in good standing. Handles may not be sublicensed or transferred without our prior written consent.

Inactivity: We may reclaim premium handles inactive for 180 days or more (no login, events, or meaningful engagement). We will attempt email notice with a 30-day grace period before reclamation.

You may not claim handles to squat/resell, impersonate others, infringe trademarks, or deceive users. We may reclaim violating handles without refund. Brand or public-figure handles may be reserved; legitimate representatives can contact verify@dayze.com.

5. DayzeCoin

DayzeCoin is an optional in-app loyalty / gamification balance you may earn for activity on Dayze. It has no cash value, is not a cryptocurrency or security, is not redeemable for money, and may be modified, paused, or discontinued at any time. DayzeCoin is not required to use core Dayze features.

6. Dayze Agent & AI Features

Dayze Agent and related AI features process your requests using third-party AI model providers. Conversation content and the context needed to respond (for example relevant calendar, people, or finance snippets) may be sent to those providers. We do not allow providers to use your Dayze data to train their models. Providers may change as we improve the product. See our Privacy Policy and AI Governance docs.

  • AI output can be wrong, incomplete, or outdated. You are responsible for verifying important information before acting on it.
  • Dayze Agent is not a substitute for professional medical, legal, financial, or mental-health advice.
  • Voice and messaging features transmit audio or message content to our systems and AI providers when you use them.
  • Usage limits apply by plan; we may throttle or refuse abuse, automated scraping, or unsafe use.

7. Developer APIs, Keys & MCP

Where we offer REST APIs, agent connectors (including MCP), or API keys, access is subject to these Terms, any published API documentation, rate limits, and the applicable API product tier.

  • Keep API keys and OAuth tokens confidential; you are responsible for use under your credentials.
  • You may only access data you own or for which you have lawful authorization from the end user.
  • Do not use the API to build a competing life-data product by wholesale copying Dayze, to spam users, or to sell or train models on Dayze user data without explicit permission.
  • We may revoke keys, change endpoints, or suspend API access for security, abuse, non-payment, or Terms violations.

8. User Content

You retain ownership of content you create or upload (events, notes, photos, people records, finance entries, chat prompts, and similar). You grant Phi a limited license to host, process, transmit, and display that content solely to operate and improve the Service for you and those you choose to share with, including processing by subprocessors and AI providers as described in the Privacy Policy.

You are responsible for your content and must not upload illegal, harmful, infringing, or unauthorized material (including others' personal data without a lawful basis).

9. Acceptable Use

You agree not to:

  • Use the Service for unlawful purposes or to violate others' rights
  • Harass, abuse, defraud, or harm other users
  • Attempt unauthorized access to accounts, systems, or data
  • Interfere with or disrupt the Service
  • Scrape, crawl, or use automated systems at scale without our written permission (except ordinary use of documented APIs within rate limits)
  • Reverse engineer the Service except where prohibited restrictions are not allowed by law

10. Privacy & Data Export

Our Privacy Policy explains what we collect and how we use it. We do not sell your personal data. Data export in JSON/CSV from Settings is included with Dayze Pro and Dayze Family (and during an active Pro trial). Free accounts may delete their account and data at any time; broader self-serve export for Free may be expanded later.

11. Third-Party Services

Integrations (calendars, health, music, payments, AI providers, hosting, auth, messaging, and similar) are operated by third parties under their own terms. Dayze is not responsible for third-party services you choose to connect. Disconnect integrations anytime in Settings or Integrations.

12. Termination

You may delete your account in Settings at any time. We may suspend or terminate access if you violate these Terms, fail to pay, or engage in conduct that harms users or the Service. Upon termination, your right to use the Service ends; we handle deletion and retention as described in the Privacy Policy and as required by law.

13. Service Availability & Changes

We aim for high availability but do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue features with reasonable notice when practicable. Material Terms changes will be posted with an updated "Last updated" date; continued use after changes take effect constitutes acceptance.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHI DIGITAL LLC AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

16. Indemnity

You will defend and indemnify Phi against claims arising from your content, your misuse of the Service or APIs, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.

17. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Courts in Wyoming have exclusive jurisdiction, except where applicable consumer law requires otherwise.
